S T A T U T E OF UKRAINIAN SOCIETY FOR NON-DESTRUCTIVE TESTING (USNDT)
1. GENERAL 1.1 Ukrainian Society for Non-Destructive Testing and Technical Diagnostics (further referred to as Society) is a professional creative public organisation uniting on a voluntary basis scientists, researchers, engineers, workers, lecturers and students working or studying in the field of non-destructive testing and technical diagnostics (NDT&TD ). 1.2 The activity of the Society is based on the principles of democratic self-government, collective management, publicity, development of initiative and financial independence. 1.3 The main purpose of the Society is consolidation of the efforts of the scientific and engineering intellectuals and industrial innovators, development of their creative and business activity, consolidation and realisation of the freedom of creative work and information exchange, satisfying their professional interests, promotion of co-operation and international contacts for comprehensive solution of the problems of improvement of the quality and reliability of industrial products and constructions. 1.4 The Society carries out its activity in keeping with the legislation in force and Bylaws of the Society. Co-operation with other Societies, Unions, organisations and institutions is organised on a voluntary contract basis.

4. MEMBERSHIP IN THE SOCIETY 4.1 Membership in the Society is voluntary. 4.2 The Society can have both individual and collective members. Individual scientists, engineers, technicians, as well as other persons who recognise these Bylaws and have paid the entrance fee, also foreign citizens, can be the individual members of the Society. The work collectives of enterprises, institutions, organisations, educational establishments, companies, associations of citizens whose activity is in keeping with the goals and objectives of the Society, who recognise these Bylaws and have paid the entrance fee, can be the collective members of the Society. 4.3 Admission of individual members to the Society is performed in primary organisations of the Society, and if they are absent - in the territorial division or secretariat of the Society. 4.4 Admission of collective members of the Society is performed by the Board upon submission of the written application of the head of the institution. 4.5 The Society member has the right to:

5. STRUCTURE AND ELECTIVE BODIES OF THE SOCIETY 5.1 The Society is constructed by the production or professional principle. The Society members can form public creative unions, clubs by professional interests, sections, seminars and other creative units. Primary organisations of the Society can be set up in the enterprises and organisations. Primary organisations of the Society are registered in the Society Board. 5.2 Primary organisations of the Society elect their governing bodies in the meetings of the Society members. The number of members of the governing body, form of its election, term of service, as well as the forms of work are determined by the meeting. 5.3 The city, district and regional divisions of the Society are established by the initiative of the primary organisations of the Society and elect their governing bodies in the meetings of the representatives of the Society members. The number of members in the governing body, form of its election, term and scope of responsibilities, as well as the forms and methods of work are determined by the meeting. 5.4 The highest body of the Society is the conference which is convened by the Board once every three years. The quota of representation in the conference is established by the Board. The convening and agenda of the Conference are announced not later than 15 days before its start. An extraordinary conference can be convened by the decision of the Board or by the demand of not less than 1/4 of its members. The conference is competent, if more than 2/3 of the elected delegates take part in its work. The conference decisions are considered as passed, if more than half of the delegates have voted for them.

5.5 The Society Board is elected by the conference delegates for managing the activity of the Society. The meeting of the Board is convened as required, but not less than one time a year. The Board meeting is considered to be competent, is more than half of its members participate in its work. The Society Board:
5.6 The Board elects a bureau from its members for consideration of the current issues and management of the everyday work of the Society. The bureau includes the chairman, his deputies, scientific secretary and several members of the Board as determined by him. The periodicity of the bureau meetings is determined by the need to solve the pending issues . 5.7 In order to perform the daily organisational and information work the Board forms a secretariat which is headed by the scientific secretary. The number of the secretariat members is determined by the scope of work. 5.8 The auditing commission performs annual audits of the financial-economic activity of the Society and the organisations subordinate to it, of following the established business procedures, of consideration of the proposals and applications of the Society members. The auditing commission elects a chairman, his deputy and secretary from its members. The auditing commission reports to the conference about its activity.
6. CASH MEANS, PROPERTY AND LEGAL STATUS OF THE SOCIETY 6.1 The cash means of the Society are formed by the entrance and annual membership fees; means transferred by enterprises and institutions, income from the information-publishing activity; holding conferences, seminars, exhibitions; receipts from organisations for taking certain measures; other sources and income generated from the Society activity specified in the Bylaws. 6.2 The entrance fee of an individual member of the Society is established to be half of the minimal non-taxable monthly personal income. The entrance fee of the collective member of the Society is established by agreement with the Society board, but it should be not less than ten minimal non-taxable monthly personal incomes. The amount of annual fees of the individual and the collective members of the Society is determined by them on their own, but it should not be less than half of the minimal non-taxable monthly personal income for an individual member of the Society and five minimal non-taxable monthly personal incomes for a collective member of the Society. 6.3 The cash means and property of the Society are used only for reaching the objectives specified in the Bylaws. The cash means of the Society are directed to conducting the scientific-technical events, providing scientific-information support to the Society members, promotion of the achievements of science and technology in the field of NDT&TD, publishing the Society materials, improvement of qualifications of the Society members, their practical training and travel, remuneration of the secretariat personnel labour, incentive payments to the Society activists, renting of premises, to organisational-economic and other undertakings in keeping with the Society budget. 6.4 The right to manage the cash means and property of the Society is given to the Board which is responsible for the timely arrival and safety of the cash means, property and their correct use. 6.5 Control of the rational use of the cash means and property is performed by the auditing commission of the Society. The Board and auditing commission submit the summary report and balances for approval by the Society conference. 6.6 In keeping with the operating legislation, the Board can acquire the title and assume liabilities, open current accounts, also in currency, in the banking institutions, be the claimant and defendant in court and court of arbitration, issue journals, bulletins and other publications. 6.7 The Society is a legal entity, has its own seal, and stamps approved by the established procedure, as well as emblem, badge, flag and other attributes whose samples are approved by the Board, performs economic operations with any organisations and individual citizens, makes agreements required for reaching of its goals and objectives. 6.8 With the aim of achievement of the goals and objectives defined in the Bylaws, the Society Board is entitled to take all the decisions by their own initiative, if they do not contradict the operating legislation, or these Bylaws. 6.9 The Society is formed of free will by the participants of the Founding conference who represent the scientific, engineering-production and pedagogical community of the country. The Society can terminate its activity by the conference decision. In the case of liquidation of the Society, the means left after covering all the debts, are transferred to the organisations whose goals and objectives are similar to the goals and objectives of the Society.
